Terms of Service

1. Who we are

FiscalBridge is provided by Kelson Innovations ([BLANK: legal form, e.g. limited company or registered business name], registration number [BLANK: company registration number]), of [BLANK: registered address] ("Kelson", "we", "us"). These terms are an agreement between Kelson and the business that uses FiscalBridge ("you"), and every person who uses it on that business's behalf. By creating an account you accept them.

2. The service

FiscalBridge receives your sales invoices and credit notes, from your point-of-sale system through our API or from the dashboard, sends them to the Zambia Revenue Authority (ZRA) through your VSDC device for Smart Invoice fiscalisation, and shows you the result. It also keeps a record of your invoices and their ZRA receipts.

3. Your tax obligations stay yours

You remain responsible for your own tax obligations, including issuing fiscal invoices, declaring and paying VAT and other taxes, and keeping records. FiscalBridge is a tool that sends invoices to ZRA on your behalf; using it does not move any legal duty from you to Kelson.

4. What we promise

We do not promise that every invoice will reach ZRA at once or that the service will never be interrupted. We do promise to make problems visible:

  • FiscalBridge shows the ZRA status of every invoice, including on your home page.
  • It retries invoices automatically when ZRA or the network is temporarily unavailable.
  • It emails your business when invoices keep failing to reach ZRA.

You agree to check for invoices that have not reached ZRA and to act on them, for example by correcting the invoice or contacting us.

We also undertake to:

  • work to restore the service promptly when it is interrupted;
  • keep your invoice records safe, with encrypted backups;
  • on request when you leave, give you an export of your business's invoice records;
  • keep your invoice records for the period Zambian tax law requires ([BLANK: confirm record-keeping period, assumed 6 years]).

5. Accounts and API keys

  • Accounts are personal. Keep your password secret and do not share accounts.
  • API keys give full access to submit invoices for your business. Store them as secrets, give each system its own key, and revoke a key at once if you think it has been exposed.
  • You are responsible for everything done with your accounts and keys until you tell us or revoke them.
  • The owner of your business decides who else can use FiscalBridge for it and with what role.

6. Acceptable use

You must not:

  • submit invoices that you know to be false, or use FiscalBridge to evade tax;
  • submit invoices for a business you are not authorised to act for;
  • try to access other businesses' data, test or bypass our security, or overload the service;
  • use the service in breach of Zambian law.

7. Test businesses

Developers connecting a system may be given a test business. It sends nothing to ZRA, and its receipts are not fiscal: they must never be given to a customer or presented as genuine.

8. Liability

To the extent the law allows, Kelson is not liable for indirect or consequential losses, including tax penalties, fines, interest, lost profits or lost business, however they arise.

To the extent the law allows, Kelson's total liability to you for all claims in any 12 months is limited to the fees you paid for FiscalBridge in those 12 months. While FiscalBridge is provided without fees, it is limited to [BLANK: liability cap amount in ZMW].

Nothing in these terms limits liability that cannot be limited under Zambian law.

9. Suspension and ending

We may suspend access if these terms are broken, if an account or key appears compromised, or if continuing would break the law, and will tell you why where we can. You may stop using FiscalBridge at any time. When an account ends, we keep invoice records for the period in section 4 and then delete them.

10. Changes

We may update these terms. We will tell you about material changes before they take effect, and the date at the top of this page shows the current version. Continuing to use FiscalBridge after a change means you accept it.

11. Law

These terms are governed by the laws of the Republic of Zambia, and the courts of Zambia have jurisdiction.

12. Contact

Questions about these terms: [BLANK: contact email]. How we handle personal data is in our Privacy Policy.
